Terms & Conditions of Sale
General: As used herein, “Wisdom Integrators” or “COZORT, LLC” means COZORT, LLC. “Purchaser” means the entity purchasing the products, services, or inspections from Wisdom Integrators. “Products” as used herein includes any equipment, machine, part, accessory, system and/or item sold by Wisdom Integrators to the Purchaser. “Services” as used herein includes any, and all repairs, installations, startups, preventative maintenance, performance verification, calibration, training or any other service offered or performed by Wisdom Integrators on behalf of the Purchaser. All bids, quotations, acknowledgements, offers, and sales by Wisdom Integrators are subject to and are expressly conditional upon these Terms and Conditions of Sale. Wisdom Integrators’ sale of any Product, Services or Inspections is expressly conditioned on Purchaser’s assent to these Terms and Conditions of Sale. Any terms or conditions (previously, contemporaneously, or hereafter) provided by the Purchaser which add to, vary from, or conflict with these Terms and Conditions of Sale are hereby expressly objected to and REJECTED. Where terms and conditions of sale between Wisdom Integrators and the Purchaser are conflicting or inconsistent, Wisdom Integrators’ Terms and Conditions of Sale shall prevail.
Scope of Work: The quotation provided by Wisdom Integrators is valid only for the scope of work outlined in the quotation document. Any additional work or changes to the scope of work will require a new quotation.
Liability: Wisdom Integrators is not responsible for any damages to equipment or data during the installation process. The client is responsible for backing up all data and ensuring that all necessary precautions have been taken to protect equipment and data prior to the installation.
Schedule: Wisdom Integrators will make every effort to complete the work outlined in the quotation within the estimated timeframe. However, unforeseen circumstances may arise that could delay the completion of the work. In the event of a delay, Wisdom Integrators will notify the client as soon as possible.
Termination: Either party may terminate this agreement at any time, for any reason. If the client terminates the agreement prior to completion of the work, Wisdom Integrators will be entitled to payment for any work completed up to the date of termination.
Confidentiality: Wisdom Integrators agrees to keep all client information confidential and will not disclose any information to any third party without the client's written consent.
Prices and Taxes: All prices shown are F.O.B. (“freight on board”) Wisdom Integrators warehouse or their Vendor warehouse. Unless Purchaser instructs otherwise, Wisdom Integrators will select a carrier and arrange shipment(s) and appropriate freight, packing, and related charges will be added to the invoice. Except as expressly set forth, prices on quotes or bids do NOT include freight, customs duties, or sales, use, excise, or other taxes.
Terms and Methods of Payment: Payment is due by one of the following methods: (a) Prepayment in advance of shipment by wire transfer or means that will provide available funds prior to shipment; (b) C.O.D. with payment in certified funds; (c) or, if Wisdom Integrators grants an open account of credit (which is subject to Wisdom Integrators’ continuing approval based solely on the payment history of the Purchaser on previous sales), Wisdom Integrators requires NET 15 payment terms (funds due inhand in 15 days), or other NET terms as arranged with Purchaser and previously agreed upon in writing. Service charges of 3-5% will be added every 10 days beyond the agreed upon NET terms or, if less, the maximum permitted by applicable law may be charged on past due amounts. If the account is placed for collection, the Purchaser agrees to pay all costs and expenses of collection, including (without limitation) reasonable attorney fees, court costs, and any contingency fees paid to a collection agent. Wisdom Integrators reserves security interests in all Products and Services sold as a collateral against the purchase price until such sales are paid for in full.
Cancellation/Changes: Any changes, deviations or request for cancellation required by the Purchaser as to any Products or Services after Wisdom Integrators acceptance of the Purchaser’s Purchase Order must be approved in writing by Wisdom Integrators. If Wisdom Integrators accepts such changes, deviations or cancellation, all expenses incurred up to the time of the approved change, deviation or cancellation will be paid by Purchaser.
Terms: NET 15
Acceptance: Acceptance of this quotation by the client constitutes agreement to all of the terms and conditions outlined herein. The client acknowledges that they have read and understand the terms and conditions of this agreement and agrees to be bound by them.
I acknowledge and agree to the terms, condition and scope of this quote. Upon accepting these terms and conditions, we request that you provide a Purchase Order via email to office@cozort.net as soon as possible for us to be able to move forward with your project. Pricing does NOT reflect any applicable federal, state, or local tax. Also does not include any inbound or outbound freight.
